Pivut Coach Platform – Terms & Conditions

1. Platform Nature & Role of Pivut

Pivut is a coaching intermediary platform that:

• Curates and positions independent coaches to client organizations
• Facilitates coaching engagements
• Manages client contracts and project coordination

Pivut does not employ coaches. Coaches operate as independent professionals.

Registration on the platform does not guarantee:

• Project allocation
• Minimum revenue
• Continuous engagement

Pivut reserves the right to whitelist, approve, reject, or deactivate any coach profile at its discretion.

2. Eligibility & Registration

By registering, the Coach represents and warrants that:

• All information submitted is accurate and truthful.
• Professional qualifications, certifications, and experience are genuine.
• The Coach has the legal capacity to provide professional services.
• The Coach complies with applicable tax and regulatory requirements in their jurisdiction.

Pivut may conduct verification and background checks before or after approval.

3. Independent Contractor Status

The Coach acknowledges that:

• Registration does not create an employment relationship.
• The Coach is solely responsible for:
  • Taxes
  • Insurance
  • Professional liability
  • Regulatory compliance

Nothing in these Terms constitutes a partnership, agency, or joint venture.

4. Positioning & Client Introduction Rights

By registering, the Coach authorizes Pivut to:

• Market and position the Coach's profile to potential clients
• Share relevant professional information for project consideration
• Facilitate discussions and engagement setup

The Coach agrees not to misrepresent their association with Pivut.

5. Project Engagements

If a client confirms an engagement involving the Coach:

• A separate Project Engagement Document will be issued.
• The Project Engagement Document shall govern:
  • Scope
  • Commercials
  • Delivery expectations
  • Client-specific non-compete
  • Exit terms

In case of conflict, the Project Engagement Document shall prevail for that specific project.

6. Confidentiality

The Coach agrees to maintain strict confidentiality regarding:

• Client identities
• Commercial discussions
• Project details
• Platform strategies
• Internal processes

This obligation applies:

• During platform registration
• During project discussions
• After deactivation or exit from the platform

Confidentiality obligations survive termination of platform participation.

7. Intellectual Property

Coaches retain ownership of pre-existing methodologies, frameworks, and intellectual property.

Any client-specific materials created under a project shall be governed by the relevant Project Engagement Document.

The Coach grants Pivut a non-exclusive right to use the Coach's name, profile, and professional information for positioning and marketing purposes while registered.

8. Non-Circumvention

The Coach agrees that:

• Any client introduced by Pivut shall not be directly approached, solicited, or engaged outside the Pivut platform.
• If a project is initiated through Pivut, all commercial discussions must be routed through Pivut.

Specific client-level restrictions and duration shall be governed by the applicable Project Engagement Document.

9. Professional Standards

The Coach agrees to:

• Maintain ethical coaching practices
• Deliver services with professional diligence
• Avoid conflicts of interest
• Act in good faith in all platform interactions

Pivut reserves the right to suspend or remove coaches who:

• Receive repeated negative feedback
• Breach professional conduct
• Violate these Terms

10. Payments & Commercials

Commercial terms, fees, invoicing schedules, and payment timelines shall be governed exclusively by the applicable Project Engagement Document.

Platform registration alone does not entitle the Coach to compensation.

11. Limitation of Liability

Pivut shall not be liable for:

• Loss of income due to lack of project allocation
• Client disputes unrelated to platform misconduct
• Indirect or consequential damages

The Coach is responsible for maintaining adequate professional indemnity coverage, where applicable.

12. Suspension & Termination

Pivut may suspend or deactivate a Coach's account:

• For breach of these Terms
• For misrepresentation
• For professional misconduct
• At its discretion to maintain platform standards

The Coach may request voluntary deactivation at any time.

Termination does not affect:

• Confidentiality obligations
• Non-circumvention obligations
• Any active Project Engagement Document

13. Governing Law & Dispute Resolution

These Terms shall be governed by the laws of India.

Any disputes shall be resolved amicably, failing which they shall be referred to arbitration in Bangalore under the Arbitration and Conciliation Act, 1996.

14. Amendments

Pivut reserves the right to modify these Terms. Updated Terms will be posted on the platform. Continued use of the platform constitutes acceptance of revised Terms.

15. Acceptance

By registering and creating a profile on the Pivut platform, the Coach confirms:

• They have read and understood these Terms.
• They agree to be legally bound by them.
